1. Parties and acceptance
These Terms of Service (the "Terms") govern the relationship between SnapZoom LLC (registered address: 30 N Gould St Ste R, Sheridan, WY 82801, USA; the "Company", "we", "us"), which operates the SnapZoom platform available at https://snapzoom.io, and the individual or legal entity using our services (the "Customer", "you"). By using the site, creating an account, or placing an order, you are deemed to have accepted these Terms. If you do not accept them, please do not use our services.
2. Description of services
SnapZoom provides the preparation and submission of company formation filings to the relevant U.S. state authorities, EIN application facilitation, registered agent service, business address and mail scanning, annual compliance filings, and related administrative support services. Our services are in the nature of document preparation and filing facilitation.
2.1 Limits of the service — important
- SnapZoom is not a law firm and does not provide attorney services, legal opinions, or legal advice.
- SnapZoom is not an accounting or tax advisory firm; tax-related content on the site is for general information only and does not constitute personal tax advice.
- SnapZoom is not a bank or financial institution; we do not hold, manage, or transfer customer funds. Banking and payment services are provided solely by the relevant licensed third parties (e.g., Mercury, Wise, Stripe, PayPal) under their own terms, and we have no authority over those institutions' decisions.
- The processing times, decisions, and policy changes of government agencies (state secretaries of state, the IRS, FinCEN, etc.) are outside our control.
3. Orders, prices, and payment
Service fees are published on the site and, unless stated otherwise, are one-time charges. Published package prices include the government fees specified; the scope is clearly listed on each package's page. Submitting an application through the site is free of charge and does not create a payment obligation. Payments are collected — after your application — via a secure payment link through licensed payment institutions, by credit or debit card, or by bank transfer; your card details never reach us and are not stored on our systems. The final amount charged is the amount you confirm on the payment page.
Services subject to annual renewal (registered agent, business address, etc.) do not renew automatically; we notify you as the renewal period approaches, and renewal takes place only upon your approval and payment.
Prepaid service credit: You may add prepaid service credit to your account, usable exclusively to pay for SnapZoom services. Service credit is not electronic money; it cannot be redeemed for cash, transferred to third parties, or used as a means of payment anywhere outside SnapZoom. Refunds of unused balances are governed by the Refund Policy.
4. Customer representations and obligations
- You represent that all information and documents you provide to us are accurate, current, and your own. The Company cannot be held liable for delays, rejections, or damages arising from inaccurate information.
- You agree to use our services solely for lawful purposes and not for money laundering, terrorist financing, fraud, sanctions violations, or any other unlawful activity.
- Ultimate responsibility for your company's post-formation legal obligations (annual reports, tax filings, BOI reports, etc.) rests with you. Our reminder services do not eliminate that responsibility.
- You agree to provide the documents requested as part of identity verification (KYC) processes. We reserve the right to decline suspicious or unverifiable applications and to terminate the service with a refund of fees paid.
5. Service timelines
Timeframes stated on the site (e.g., "1–3 business days") are estimates based on past experience; they may vary with government agency workloads and do not constitute a guarantee. In the event of a delay, we will inform you and continue to monitor the process.
6. Refunds and cancellation
Refund conditions are set out in detail in our Refund Policy, which forms an integral part of these Terms. In summary: if you cancel before we file with the state, you receive a full refund; once government fees have been paid, those fees are non-refundable.
7. Intellectual property
All content, designs, logos, and software on the site are owned by or licensed to SnapZoom LLC; they may not be copied or used for commercial purposes without written permission. Company documents prepared on your behalf belong to you.
8. Limitation of liability
To the maximum extent permitted by applicable law: (a) our services are provided "as is"; (b) we are not liable for indirect, incidental, punitive, or consequential damages (including lost profits, lost business, or reputational harm); (c) in any event, our total aggregate liability is limited to the amount you actually paid us for the service giving rise to the claim. We are not responsible for the decisions and actions of third-party institutions (banks, payment providers, government agencies).
Some jurisdictions do not allow certain limitations of liability; in that case, the relevant limitation applies to you to the maximum extent legally permissible. The mandatory statutory rights of customers who qualify as consumers are reserved.
9. Indemnification
You agree to indemnify the Company for damages, costs, and third-party claims arising from your breach of these Terms, your provision of inaccurate information, or your unlawful use of the services.
10. Accounts and termination
You are responsible for the security of your account (including your password). In the event of a breach of these Terms, misuse, or legal requirement, we may suspend or close your account; fees for incomplete and unused services are refunded in accordance with the Refund Policy.
11. Governing law and dispute resolution
These Terms are governed by the laws of the State of Wyoming, USA, excluding its conflict-of-laws rules. The parties will first attempt to resolve disputes through good-faith negotiation. For disputes that cannot be resolved, the state and federal courts of Wyoming have jurisdiction. The rights of consumers under the mandatory consumer protection provisions of their country of residence are reserved.
12. Changes
We may update these Terms from time to time. We announce material changes on the site and/or by email; changes take effect from the date of publication. Continued use of the service after a change constitutes acceptance of the updated Terms.
