Forming a U.S. Company as a Non-Resident — A Step-by-Step Guide

You do not need U.S. citizenship, a Green Card, or a trip to the United States to form a company there. With a valid passport, the entire process can be completed online from anywhere in the world. This guide walks through every step, from formation to payment infrastructure.

1. Choosing a state

U.S. companies are formed at the state level, not federally. For foreign founders, Wyoming is the most popular choice: no state income tax, low annual costs (annual report fees starting at $62), and owner names are not published in the public registry. Delaware is the standard for venture-backed C-Corps; for service and e-commerce LLCs, Wyoming stands out on cost.

2. Company name and entity type

Your name must be unique in the state and end with a designator such as 'LLC'. More than 95% of foreign founders choose the LLC (Limited Liability Company): simple to form, flexible to manage, and a tax 'pass-through' by default.

3. Filing the formation

4. The EIN

5. Banking and payments

With your company and EIN in hand, you can open a fully online business account at Mercury, Wise, or Payoneer. You then create Stripe and PayPal accounts under your U.S. company and start collecting USD from customers worldwide.

6. Post-formation obligations
