Does an Amazon Seller Need a U.S. Company
June 12, 20266 min read
A U.S. company is technically not required to sell on Amazon.com — you can open an account as an individual or with a foreign company. Yet a significant share of serious sellers eventually move to a U.S. LLC, for practical reasons.
Payouts and costs
With a U.S. company and a Mercury account, you receive Amazon payouts directly in USD. The currency conversion cost applied when withdrawing to foreign accounts disappears; at high volume, that difference alone covers the cost of the company.
Tax forms and account structure
Selling through a U.S. company, you provide Amazon a W-9 and withholding processes simplify. Registering your trademark (USPTO) under the LLC and entering Brand Registry with a corporate structure strengthens both brand protection and account credibility.
Important note: holding FBA inventory in U.S. warehouses may trigger ETBUS/nexus analysis for tax purposes. For FBA models, seek professional advice on sales tax (largely handled by marketplace facilitator rules) and federal filings.
How to migrate
You can update your existing seller account's legal entity to your LLC through Amazon rather than opening a new account — preserving your account history. Identity and company verification are re-run during the process, so document consistency is critical.
